Liability <br /> <br /> A. Except as sv¢cifically provided in this Section XIIIC~ no debt, liability, or obligation <br /> of ~hc Group shall constitute a debt, liability or obligation of any Parly, <br /> <br /> B. Except as expressly anrhorized by the Parties and by Section XIV of this Agreement, <br /> no party &hall be responsible for the acts and orai~ions of'another Party's officers or <br /> employees nor shall a Party recur any liabihtics arising out of thc services and <br /> atedvities of another party's officers or employees. <br /> <br /> C. The Group may maintain such public liability and other insurance a~ deemed <br /> appropriate. To the extem required as a condition to procuring and/or maintaining thc <br /> insurance described in this section, the Board of Directors or its designee, may adopt <br /> Dro~ visions oblie~tlng each of the Parties to dcfand and/or i~4emnif'v the Group for <br /> defined claims and liabilities which provisions shall be binding on such Parties and <br /> are av-,-hed as Exhibit ^ to this A.m~mment. <br /> <br /> D. If the Group is held liable upon any judgment for damages cansed by the negligent or <br /> wrongful a6't or omission occurring in thc performance of this Agreement, the pro rata <br /> share of cai;h Party in *.he smisfaetion of such jud~en! shall be based upon each <br /> party's allocaUon of"unius~ in the revenue silo,ration plan adopted bythe Board. <br /> <br /> 13 <br /> <br /> <br />
