Mr. Jon Lynch
City of Redwood City
December 13, 1996

Monitoring of site safety conditions and procedures of the contractor is not provided for in
our estimated fee. Also not included in this proposal are pre-bid meetings, preparation of
addendum for issuance by the City and review of bids.

Your Project Manager for this project will be Mr. George Otte, P.E., a Senior Project
Manager with M&E's local Palo Alto office. Mr. Otte will provide the City with a single
point of contact and control to provide effective communication with City staff and among
members of our Team. Mr. Otte will also have specific responsibility for assigning staff, for
managing project budgets and schedules, and for review and approval of all deliverables.

Mr. Otte's most recent related experience includes serving as Project Manager for the design
of the Marina Pump Station Rehabilitation for the City of Redwood City. He was also the
Project Manager for the 1,200 horsepower Point Loma Pump Station for the City of San
Diego. Mr. Otte also recently completed a pump station rehabilitation project for the Town of
Corte Madera; construction was coordinated so that the facility remained in service at all
times.

Your Project Engineer will be Gary Warren. Mr. Warren is also the Project Engineer for the
Marina Sewer Pump Station Rehabilitation. Mr. Warren has over nine years of related
experience, including recent pump station designs for the Cities of Milpitas and San Jose.
Other members of the design team, Ira Brandell, Dick Frykman, and David Rittmeyer, also
worked on the Marina Pump Station Rehabilitation project and understand the City's desire to
standardize the design of the sewer pump station facilities.

The work can commence immediately upon issuance of a notice-to-proceed, with work
completed in approximately 10 weeks. This schedule assumes two week periods for review
by the City similar to the schedule for the Marina Pump Station.

An estimate of the proposed fee by task to provide the above described services is presented
in the attached table. Work will be performed on a time and materials basis. All charges will
be in accordance with our standard fee schedule which is also attached. The total fee shall
not exceed $44,500.00. This fee includes $37,500.00 for design services and $7,000.00 for
support during construction.

p:\PROSECTS\RC-PS\PRO POSAL\REDWOO D2 .WPD
