5. San Carlos agrees to pay the total cost incttrred for said installation of <br />surface drainage improvements, the placement of traffic striping, the landscaping and <br />irrigation systems, and roadway improvement work. Said total cost shall include contract <br />change orders, incidentals, and overhead expenses incurred by San Carlos. <br /> <br /> 6. Any acquisition of real property or rights of entry shall be the sole <br />responsibility of the City of San Carlos. <br /> <br /> 7. Redwood City and San Carlos agree that upon completion of the work <br />specified under this agreement and acceptance thereof by Redwood City, ownership and <br />maintenance responsibilities for the existing roadway and the improvements installed and <br />constructed hereto under this agreement shall vest in Redwood City to the extent said <br />improvements are located within City limits. <br /> <br /> 8. Redwood City shall only accept the work accomplished within the <br />limits of Redwood City after receiving written approval of completion of the work from <br />San Carlos. Redwood City's disapproval of work shall only be for non-conformance <br />with the approved project plans and specifications for the improvement of Veterans <br />Boulevard. Said approval or disapproval, if any, by Redwood City shall be provided so <br />as not to cause San Carlos to sustain any claims for delays from the Contractor. <br /> <br /> 9. San Carlos shall indemnify, defend,-and hold harmless the City of <br />Redwood City, its officers, agents, boards, commissions, and employees from all claims, <br />damages, suits or actions of every name, kind, and description, arising out of or relating <br />to the matters covered by the agreement to the extent such claims, suits or actions are due <br />to the negligence or willful misconduct of San Carlos or its failure to perform obligations <br />required of San Carlos under this agreement. <br /> <br /> <br />
