provide that the City will notify the Sheriff's Department of all gunfire noises <br /> <br />located within the Sheriff's Department jurisdiction. <br /> NOW, THEREFORE: <br /> <br /> City and Supplier, for the consideration hereinafter described, covenant <br />and agree as follows: <br /> <br /> 1. Intentions. Supplier is aware that it is the intention of City to <br />pumhase the Gunfire Location System (the "System") from Supplier and that the <br />County of San Mateo ("County") will financially participate in the pumhase of the <br />System and that, without the financial participation of the County in the funding <br />of the purchase of the System, the City will not be in a financial position to <br />purchase said System. This Agreement, therefore, becomes effective upon the <br />approvals of (1) the Reimbursement Agreement by the Board of Supervisors of <br />the County of San Mateo; and (2) this Agreement, the Reimbursement <br />Agreement, and the Gunfire Location System License Agreement by the City <br />Council of the City of Redwood City (collectively, the "Approvals") and shall only <br />be considered as negotiations for the purchase of the Gunfire Location System <br />prior to the approvals. <br /> <br /> 2. Covenant.
