Mateo which shall be subject to the terms of the Agreement and this License, but <br />without any further authorization or approval by and/or compensation to Trilon. It <br />is hereby acknowledged that the sharing of information (real time outputs) <br />regarding gunfire locations with the County of San Mateo is contemplated by the <br />City and Trilon and is a major consideration of the Agreement, <br /> <br /> 3. Warranty/Limitation of Liability. The Proprietary Trilon Software is <br />licensed in its current state and such license covers any improvements, <br />modifications, and upgrades contemplated by and actually performed by <br />Supplier for one (1) year from the date of Completion (the '~/arranty Period"). <br />Supplier warrants that the proprietary software included in the System is at least <br />as good as the software provided during the testing phase of the System and <br />that due to upgrades, improvements, and modifications to the System and its <br />software, that the software, in fact, will perform at a level similar to or better than <br />the level which was experienced during the testing phase. Supplier agrees to <br />take whatever steps are necessary to maintain the performance of the Software <br />in at least its current state during the Warranty Period. If City is reasonably <br />dissatisfied with the Software, City may return the Software to Supplier within <br />forty-five (45) days of the Approvals for full refund of the Contract Price or <br />replacement, at City's sole and discretionary option.
