Such notice shall be dispensed with as to any member of the Agency who at or prior to the time the meeting convenes files with the Secretary of the Agency a written waiver of notice, or as to any member of the Agency who is actually present at the meeting at the time it convenes. Section 3. Public Mgetin~s. All meetings of the Agency shall be open to the public, except as provided by law. Section 4. Quorum. A majority of the members of the Agency shall constitute a quorum for the transaction of business, but a smaller number may adjourn from time to time. Except as otherwise provided, no action may be taken by the Agency except by affirmative vote of not less than a majority of those members of the Agency present. Section 5. Order of Business. At the regular meetings of the Agency the following shall be the order of business: 1. Roll Call. 2. Approval of Minutes of the previous meeting. 3. Agenda Items. 4. Adjournment. Section 6. Manner of Voting. The voting on formal resolutions, matters pertaining to any federal, state, county or -- City agency and on such other matters as may be requested by a majority of the Agency members present shall be by roll call, and the ayes and noes, abstentions, and members absent shall be entered in the minutes of such meeting. Section 7. Resolutions. All resolutions of the Agency shall be in writing. Section 8. Rules of Order. All rules of order not herein provided for shall be determined in accordance with "Robert's Rules of Order," to the extent applicable to the circumstances; provided, however, no action of the Agency shall be invalidated or the legality thereof otherwise affected by the failure or omission to observe or follow said Rules. ARTICLE IV - AMENDMENTS Section 1. Amendments to By-Laws. The By-Laws of the Agency shall be amended only with the approval of at least four (4) members of the Agency at a Regular or Special meeting, but no such amendment shall be adopted unless at least three (3) days written notice thereof has previously been given to all of the members of the Agency. Such notice shall identify the section or sections of the By-Laws proposed to be amended.
