6.1. F. - Page 3 <br /> LIVE PERFORMANCE AGREEMENT <br /> (Zoppe) <br /> This Agreement is made and entered into as of the day of , <br /> 2011, by and between the City of Redwood City, a charter city and municipal <br /> corporation of the state of California( "City"), and Zoppe, an Italian Theatrical Circus, <br /> ("Performers") (collectively, the <br /> "Parties"). <br /> IN CONSIDERATION of the mutual promises set forth herein, and for other good <br /> and valuable consideration, the receipt of which is hereby acknowledged, the City <br /> hereby engages New World Classics ("Agent"), care of Kerby Lovallo as agent to <br /> Zoppe, to secure Performers' services upon the following terms and conditions: <br /> RECITALS <br /> A. In 2008, 2009, and 2010, the Parties entered into agreements bringing <br /> Zoppe Circus performances to Redwood City, which have received satisfactory levels of <br /> patronage. <br /> B. The City desires to sponsor the return of Zoppe Circus to downtown <br /> Redwood City to perform 19 shows in October 2011. Hosting the event provides the <br /> public benefit of bringing activity and commerce to the downtown area, which the City <br /> has expended substantial effort and resources to revitalize. <br /> C. The City is entitled to all ticket sale revenues, which are expected to total <br /> at least $130,000; the maximum gross potential ticket sale revenues would total <br /> $147,000. <br /> D. The City will expend a total amount not to exceed $105,000, which <br /> includes a$76,000 payment to Performers, in addition to $29,000 to be expended on <br /> marketing, advertising, ticket sales, set up / tear down, clean up, purchase/rental of <br /> equipment and supplies, food and beverage concessions, and Parks and Recreation <br /> Services Department staff time. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. Performances. The performance, to be held in a one-ring circus tent, will star Nino <br /> the clown, with acrobatics, equestrian showmanship, canine capers, clowning, and <br /> audience participation.
