6.1.L. - Page 3 <br /> AGREEMENT FOR PROFESSIONAL SERVICES <br /> (City of San Carlos Payroll) <br /> THIS AGREEMENT is made and entered into as of the day of <br /> , 201_, by and between the CITY OF SAN CARLOS, a municipal <br /> corporation ("San Carlos") and the CITY OF REDWOOD CITY, a charter city and <br /> municipal corporation of the State of California ("Redwood City"), collectively "the <br /> Parties." <br /> RECITALS <br /> A. San Carlos requires the professional services of Redwood City's payroll <br /> department. <br /> B. Redwood City has the expertise and staff available to provide payroll <br /> services. <br /> C. This contractual arrangement is intended to achieve an effective and <br /> efficient delivery of service to the benefit of both cities. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. Scope of Work. San Carlos retains Redwood City to perform, and Redwood City <br /> agrees to render, Payroll Services (the "Services") that are further described in attached <br /> Exhibit "A," which is incorporated herein by reference. In the event of a conflict between <br /> the provisions of Exhibit "A" and the terms of this Agreement, the terms of this <br /> Agreement shall prevail. <br /> 1.1 General Description of Services. The City of Redwood City will provide <br /> payroll services and payroll reporting to the City of San Carlos, generally described as <br /> follows and more particularly specified in Exhibit "A": processing timecards and salary <br /> information entered by City of San Carlos; calculating employee's gross pay; calculating <br /> employee's net pay; calculating and remitting Federal and State taxes (including <br /> Personal Income Tax); calculating, deducting and remitting wage garnishments; <br /> calculating and remitting PERS contributions (employee and employer) and preparing, <br /> reconciling, posting adjustments, and submitting PERS reporting; preparing, reconciling, <br /> and submitting quarterly Federal and State tax reports; issuing annual W-2's; and <br /> processing retroactive adjustments to salary and benefits. <br /> 1.2 San Carlos's Obliqation to provide necessarv data. In order to receive the <br /> Services described in Exhibit "A," San Carlos shall provide Redwood City with <br /> the following necessary information. <br /> 1.2.1 Access and authority for City of Redwood City to contact any <br /> external agencies to whom the City of San Carlos desires that the City of <br /> 2011. 072 San Carlos Payroll Services 1 <br /> 081811 <br />
