City will eva�uate ConsuEtant's duties pursuant to this <br /> Agreement to determine whether disclosure under the Palitical Reform Act and City's <br /> Con#iict of Interest Code is required of Consultant or any of Consultant's employees, <br /> agents, or subcontractors. Should it be determined that disclosure is required, <br /> Consultant ar Consultant`s affected employees, ager�ts, or subcontraetors wi(I complete <br /> ar�d fife with the City Clerk those schedules specified by Ci�y and contained in the <br /> Statement of Economic Int�rests Form 700. <br /> Consultant, for Consultant and on behalf of Cons�ltant's agents, �mployees, <br /> subcontractors and consultants warrar�ts that by execution of this Agreement, that they <br /> ha�e no interest, present or contemplated, in the projects affectec� by this Agreement. <br /> Consultant #urther warrants that neither Consultant, nor Cons�itant's agents, <br /> employees, subcontractors and consuf#ants ha�e any ancillary real property, business <br /> interests or income that will be affeeted by this Agreement or, alternatively, that <br /> Consultant will file with City an affidavit disclosing this �nterest. <br /> � 8. General Compliar�ce with Laws. Consulta�t will keep #ully informed of federal, <br /> state ancf local laws an� ardinar�ces and regulatians which in any manner affect those <br /> employed by Consultant, or in any way affect the performance af the Servtces by <br /> Cor�sul#an�. Consultant will at all times observe and cam�aly with these laws, <br /> .. ordirtances,. and .regulations and will be respansibfe for the compliance of Co�sultant's <br /> Services with all applicable laws, ordinances a�d regulations. <br /> 19. Discrimination and Harassment Prohibited. . Consultant will comply with all <br /> applicable local, state and federal laws and regulations prohibiting discrimir�ation and <br /> harassment. <br /> 20. Termination. In the event o� the Consultar�t's failure to prosecute, deliver, or <br /> perfo�m the Services, City may terrninate this Agreement for nonperformance by <br /> notifying Cor�sultant in writing pursuant to the notice provisions of this Agreement. <br /> If City decides to abandon or post�one the work or services contemplated by this <br /> Agreement, City may terminate this Agreement upon written notice ta Cons�l�ant <br /> pursuant to t1�e notice �ro�isions af this Agreement. Termination will be effectiue <br /> immediately upo� �otification. <br /> Either Party upon tendering thirty (30) days written natice ta ihe other party may <br /> terminate this Agreement. <br /> Within 10 days of termir�ation Consultant will assemble the work product without charge <br /> ar�d put it in order for proper filing and clasing and dafiver it ta City. Consultant wiEl be <br /> paid for work performed up to the termination date, howe�er, the total will not exceed <br /> t�� lump sum fee payable u�der this Agreement.
