City requires the professior�al services of a consultir�g er�gineering firm. <br /> B. Consultar�t has the necessary experience in pro�iding professional <br /> seruices and advice. <br /> C. Selection of Consultant is expec#�d to achie�e the desired results in an <br /> expedited fas�ion. <br /> D. Cons��tant has submitted a proposal to City and has affirmed its <br /> willingness and abikity to perforr such work. <br /> NOW, THERE�ORE, in co�sideration of t�ese recitals and the mutual covenants <br /> eontained herein, the Parties agree as follows: <br /> �. Sco�e of Work. City retains Consultant to perform, and Car�sultar�t agrees to <br /> render, those services (t1�e "Services") that are defined in attached Exhibi# °A," which is <br /> incarparated her�in by reference. In the e�ent af a conf[ict between the provisions of <br /> Exhibit "A" and the terms of this Agreeme�t, the terms of this Agreement shall prevail. <br /> City shall ha�e the right to modify the scope of work to delete tasks in whole or in par�. lt <br /> is anticipated t�at additionai work may be added to this scope of work at some time in <br /> the fu#ure, hawe�er, s�ach additional work anc� additiarta! fee shall be added anly through <br /> an amendment to this agreement. <br /> 2. Standard o� PerFarmanee. While performing th� Sa�vic�s, Gonsultant w�li <br /> exercise the reasonable professional care and skill customarily exercised by reputable <br /> r�embers af Cor�sultant's prafession practicir�g in the urba� Northern California Area, <br /> ancf will use reasonable diligence and best judgment while exercising its profess�onal <br /> ski11 and expertise. <br /> 3. Term. Unless earlier terminated, the term Qf this Agreement rrviii commence �pon <br /> the date first above written and shali expire upon comp�etior� of perfarmance of Services <br /> hereunder by Consultant. <br /> 4. Schedule.
