City understands that <br /> Consultant's performance must �e governed by so�nd practices. <br /> 5. Time is of #he Essence. Time is of the essence for each and e�ery pro�ision of <br /> this Agreement. <br /> 6. Compensation. City s�all pay to Consu[tant an amaun# not to exceed Seventy <br /> thousanc� seven hundred ninety four and 001100 Dollars ($70,794.00} for the completio� <br /> af all the work and se�vicas described herein, which sum shall include all costs or <br /> expenses incurred by Consultant, payable as set for#� in Exhibit "B", attached hereto <br /> and mad� a part hereof by reference. <br /> 6.1 An application for payment far� must be submitted to City which shall include the <br /> followi�g: a clear, detailed invoice reflecting work being billed for, a summary sheet <br /> . sf�owing haurly rates, hours worked,. per�entage n# work completed to date, . �. <br /> amountlpercent billed to date and current status of alI tasks within a project; anylall <br /> backup documentatian supporting the above items. Work schedufe updates must also <br /> be included with the payment requests. <br /> 6.2 Cansultant shall maintain adequate records and shall perrr�it inspection and audit by <br /> City of Consultar�t's charges under this Contract. Consultant shall malce such records <br /> a�ailable ta City during normal business hours uport reasonable rtotice. Nothing hereirt <br /> shall cor��ert such records into public records, and they will be available anly to City and <br /> any specified public agencies. Such and they will be available or�ly to City and any <br /> specified public ager�cies. Such r�cords sha�l be maintained by Cansultant far one (1) <br /> year following completion of the work under t�is Contrac� unless a fonger period of time <br /> is required by state vr federal law, in w�ich e�ent Cons�ltant shall retain its recards for <br /> tl�e time required by such laws. <br /> 6.3. The payment made to Consultant pursuant to the Agreement will be the ful{ and <br /> complete comper�sation to w�ich Consultant is entitled. City will not make any federal <br /> or state tax withholdings on be�alf of Consultant or its ag�nts, �mplayees or <br /> subcontractors. City will not be required to pay any workers' compensation insurance or <br /> unemployment contributions on behalf of Cansultant or its employees or subcontractors. <br /> Consuftant agrees to reimburse City within thi�ty (30} days for any tax, retirement <br /> contributior�, social security, overtime payment, unerr�ployment payment or workers' <br /> compensatio� payment which City makes on bel�alf of Consultant or any agent, <br /> employee, or subcontractor of Cortsuitant for work done under this Agreement.
