� � PART ONE - PHASE ONE <br /> LEGAL REVIEW 8� IMPLEMENTATION <br /> MUNICIPAL CODE CORPORATION, a corporation duly organized and existing under the laws of the State of Florida, <br /> hereinafter referred to as MCC, hereby offers to perform legal review and implementation services for the REDWOOD <br /> CITY, CALIFORNIA, hereinafter referred to as Client. <br /> Legal Review. MCC has a full-time staff of attorneys available to provide legal services. Not only are our attorneys <br /> well-versed in the statutes and in areas of concern with regard to codification, they also have the benefit of knowledge <br /> gained through working with the many governing bodies within a given state. <br /> Even with the most diligent care possibly taken, it is di�cult to ensure compliance of a Code and its content over the <br /> long term. State statutes are revised continually and new ordinances may overlook previously codified provisions, <br /> creating conflicts within the volume. In order to ensure that a Code is adequately maintained, we recommend a <br /> complete legal review approximately every 5-15 years, depending upon the volume of ordinances passed and amount <br /> of statute changes since the last review. <br /> One of our aforementioned staff attorneys would personally conduct a comprehensive legal review, on a chapter-by- <br /> chapter basis; current ordinances (if any on hand) would be included in the review process. The review would identify <br /> obsolete provisions, conflicts and inconsistencies in conjunction with current state statutes, as well as conflicts within <br /> the Code itself. State law citations would be checked and necessary changes and additions would be noted in the <br /> Code volume for future supplementation. Should you desire a review for updating single chapters, muitiple chapters <br /> or just a State Law Reference review only, a quote can be provided. Costs and additional information are provided <br /> below. <br /> The Legal Review would provide recommendations as to the curing of internal conflicts, the possible deletion of <br /> obsolete or unnecessary provisions, and other "housecleaning" measures. These findings will be presented as a <br /> complete document to include the current Code text, recommendations and the legal research findings and will be <br /> viewed as footnotes and comments (see enclosed sample). This Legal Manuscript is provided in print and electronic <br /> form for review and evaluation. All recommendations are intended for the use of an attorney and are not to be <br /> considered legal advice to a layperson. <br /> Conference. MCC's attorney would be available to answer questions and discuss findings in the memorandum via <br /> teleconference, Webinar or, if desired, travel to provide an on-site conference to discuss all recommendations <br /> submitted. The discussion, which may encompass all interested officials, will help to expedite implementation of the <br /> approved recommendations and will assure that the revised Code accurately reflects what was decided. <br /> Legal ReSiew Fees'. The legal services provided by MCC staff attorneys are quoted based on the age, size, and <br /> content of your Code. We can break down the cost by chapter or multiple chapters, if desired. The cost(s) quoted will <br /> be impacted by the passage of time and/or by changes in the size or content of the volume. <br /> Implementation of Approved Recommendations. Once the Code memorandum has been reviewed, the changes <br /> and recommendations can be incorporated in the Code. We can then implement the decided changes or amendatory <br /> ordinances through republication. The cost for implementation once the legal review is completed is included on the <br /> quotation sheet. <br /> ' Sales Tax is additional where applicable. <br /> 3 <br />
