<br /> PROJECT SPONS4R OBLIGATIONS
<br /> 1) T�e Prajec:t Sponsor hereby agrees to implement the Project, as described more fiilly in .
<br /> Aftachment A, "Praject Specifc Infoz�ation," and in Attach�ent B, "Praject Description."
<br /> k'ailure to impI�ment the Project in accordanca with the tezms and conditions set forth in this
<br /> Agreement and all attachments thereto shall be deemed a breach of this Agreement and may
<br /> result in terminatian af the Agreement or a reduction of the award.
<br /> 2) The Pxoject Sponsor shall comp�ete t�e Projeet within tha Tata1 Project Cost. Allowable Project
<br /> costs are listed in the TFCA Lzne Item Project Budg�f. Or�ly tk�ose allowable Project costs .
<br /> incurred following the E�'fective Date of this Agreemenf, ar the effective date of tha t�rmination
<br /> of the project, wh�chever comes first, are eligible to xeceive TFCA funds. Any Prajeet cast
<br /> overruns are the sole responsibility of fhe Project Sponsor.
<br /> 3} The Air District's funding obligation under this Agreeme�lt is Iimzted to the TFCA Regional
<br /> Funds Awa�•ded. The Project Sponsor sha11 contribute or expend the total amount of Matching
<br /> Funds �riar to submission of the Fina� Tnvoice. I� the acfival total cost of the Project listed in the
<br /> Final Report submitted and approved hy �he Ai�• District is less than the Tptal Project Cost, the
<br /> Air Dist�zct xeserves the right to r�duce the arnaunt of TFCA Regional Funds Awarded at its sole
<br /> discretion. The Project �ponsor is responsible for, assuring that �se o� �he Matching F�nds daes
<br /> not conflict with any f�deral, state or local requirements for their use.
<br /> 4) If TFCA Administrative Costs are i��cluded in the TFCA Line Ite� Project Budget, P�ojec�
<br /> Sponsor shall no� use more then five (5) percent of the TFCA Regional Funds Awarded for
<br /> allowable costs incurred in the ad�ainistration of the Project. I� the event that the act�al Project
<br /> cost is less than the Tota.l Pxoject Cost, the amount of allowab�e TFCA Administrative Costs shall
<br /> � be reduced so as not to exceed five (5) percent of the T�'CA Funds Awarded. Allowable project
<br /> administrafive costs are listed in Appendix C a� tl�e "Transportation �'und for Clean Air (TFCAj
<br /> Fiscal Year Ending 2012 Regional Futzd Application and Guidance." .
<br /> 5) The Project Sponsor shall sub�nit invoices an the Air Dis�i•ict's Invoiee Form for reimbursern�nt
<br /> of eligible Project costs and expenses consisfant with the TFCA Regional Funds Awarded,
<br /> Invoice and_Payment Sehed�le, and Project Schedule. Invoices sha11 includ� t�e Aix District's
<br /> summary sheet specifying the Project numbex, an iterr�ized. list of a11 �xpenses incurred, a�d the
<br /> � total funds being requested. The invoice shall also provid� suppo��ting documentation suc�i as
<br /> copies of invoices from vendoxs, consultants, or contractors with an e�planation of the goods or
<br /> services pravided for the Pz•oject and copies of tirne sheets documenting hourly iabor costs
<br /> incu��red.
<br /> The Air District may wit�old funds pending receipt of any repo��f.
<br /> The Air District rnrill retain fifteen (15) �ercent of the Tk'C'A Regional Funds Award�d against
<br /> eaeh invoice paid imti� the Final Report is receivec� ar�d approvecl l�y the District. The 15°/a may
<br /> be requested by a Project Sponsor in the Fii�al Invoice.
<br /> If invozces include TFCA Ad�zzinistrative Costs, the Project Spo�sar must also �rovide
<br /> supporting documentation af the costs i�lcuned. S�ch doc�mentatian sha11 include the dates such
<br /> costs were inc�rred, the job titles and ho�rly pay rat�s of employees performing eligib�e project
<br /> administrative tasks, tasl�s performed by thos� emplayees, the n�rriber of hours spent perfoi7ning
<br /> �uch tasks, and the total charges.
