The Air District will nat process the Final Invoice submitted by the Project Sponsor until the Air District accepts the Final Report. 7) The Projec� Sponsor shall allow the Air District or its autharized representatives ta conduct audits afthe Project records at all times duxi�g tk�e Terrn o�this Agreement. The Project Spansor shall cooperate with such audits and shall rr�ake available to the Air District all records relating to Project performance and expenses incurred in the impiementation of the Project. The Project Sponsor shall allow the Air District ar i�s authorized representatives to inspect the Project at alI times during the Prroject Usefi�l Life. The Project,Sponsor shall cooperate with such inspections; the Air District makes reasonable effarts ta conduct such inspections during normal business hours af the Project Sponsor. 8) The Project Sponsor sha11 p;repa�•e and �x�aintazn all necessa�•y Project records to document Project activities and performance, including invoicing docurnentation set forth in Section II.S, docutnentation to support the Project reporting requirements set forth in Attachment C, and insurance dac�mentatian set forth in Attachment D(all of rn�hich comprise "Praject Records"), Project Records shall also include documentation that verifies campliance witl� the requirements set forth in Section ��,11 below. The Project Sponsor shall keep Project Record� in one centrai locatian during the Term of this Agreement. The Project Sponsor shall sul�mit the following reparts ta the Air Dis�•ict by the.due dates specified in Attachment C: � a. Semi-annual Report, and b. Fina1 Report. 9) The Project Sponsor shall zir�onitox the operational s�atus of the Project for the Project Useful Life. The Project Sponsor shall notify the Air District in writing of any change in ope�•ational status of any portion of the Pi•oject within thirty (30) calendar days af its occur�•ence. For purposes af this Agreement, a"change in operational status" occurs whenavar any portion of th� Project is removed from active service, relocated outside the baundaries of the Air District, rendered inoperable, sold, ar txans�erz•ed to another entity, before fi�ll completion of �he Project Useful Life. For service�based projects, a"change in operational status" occurs whenever there is a change in service level, routing, or vehicles uses. FaiIure to provide the required written notice of a change in operational status is a breach of this Agreament. If the Praject Sponsor intends to make a change to the praject the Project Sponsor may seek a modification of this Agreement in advance to allow for a change pursuant to Sectian IV. 3. The Project Sponsor may not make any changes without the prior approval of the Air District. Failure ta obtain prior approval is a breach of this Agreement. 10) The Project Sponsor will maintain the portions of the Project funded under this Agreement according to the mai��ifacturer's speci�catioi�s for the Project Usefiil Life, etcepi for adva��ced vehicle technology demonstration projects, as specified in Special Conditions, Attachment A. 11) The Project Sponsar shail acknowledge the Air District as a Project funding soiu•ce at ail times during the Project Useful Life. The Projeet Sponsar shall use, and require any third party that implements the Project to use the Air Di�trict's appraved logo for the Project.
