Failure to obtain and maintain the insurance coverage and tp comply with all insuranee requirements is a breach of this Agreement. I3) To the extent not athezvv�se prahibited by law, and to the ex�ent required by the California Public Records Act (Government Code sectian 6250 et seq.}, the Project S�onsor sha11 place in the publxc damain any software, � written document, or other product developed with TFCA funds as part of the Project and shall require recipients of Project funds, if a�y, to do the same. 14) The Project Sponsor shall use TFCA Regianal �unds Awarded solely for permitted purpases under fhis Agreement. 1S) The Project S�onsor shall compiy with all Program requirements s�t fbrth in fhe Air Dis�rict's "Board Adopted TFCA Regional Fund Folicies for FYE 2012," which are incorporated thez•ein as Appendix A, and made a part of the "Transportatzoz� �und £o�- Clean Air (TFCA} Regional Fund Guidance �or Fiscal Year Ending (FYE) 2D 12," dated August 201 l, and which are incorporated herein a�d rnade a part hereof by this reference as if fully set forth herei�. �ECTION III AIR DISTRICT OBLIGATIONS � 1) The Azr District will provide eligil�le TFCA f�nds �or thFS Praject in an amount not to exceed tha TFCA Regional Funds Awarded. 2) The Air I]istr�ct will endaavor ta pay the uz�disputed amount of an approved invoice within thirty (30) calendar days of the date of Air District's receipt of such invoice. 3) The Air Dist�ict will provida timely notice to th� Project Sponsor prior to conducfing an audit. 4) The Air Distrzct will pxovide tkze Project Sponso�• a copy of the fiscal and performance audits of tlxe Pxajeet as specified in California Health and Safety Code Section 44242. . 5) The Air District �er�ill provid� the Project Sponsor a1X Air District-appxaved Regional Fund reporting and invoice forms. 6) The Air Dis�rict will malce its logo available to Project Sponsor solely for use to �'ulfill th� Project Sponsor's obligation under �ection IL11 of this Agreement, SECTION IV GENERAL PROVISIONS 1) Effective Date: The effective date of this Ag�•eement is the date the Air District Executive Officer/Air Pai�ution�Cantrol Officer executes - �his Agr�ernent (the "Effective Date"). . 2) T�rm: The texr� of this Ag�•eenr�ent shall be from the Effeetive Date until the end of three {3) years fron� the latte�• of either 1) the date of the Air District's payment after acceptance of the �'anal Report, or 2) the last day of the Project Usef� Life, unless this Agreement is terminated or arr�ended a.s provided below, or the Ter�n is extended pursuant to Special Conditions, Attachment A.
