City rec{uires the prafessional services of an Earth�uak� and Structural <br /> Engineering Consultant. <br /> B. Consultant ha� the necessary exp�r�ence in praviding professional <br /> services and �dvic�. <br /> C. Selection af Consultant is expected to achieve the desir�d results in an <br /> expedited fashion. <br /> D. Consultant �as �ubr�itt�d a praposal to City ��ad has affirmed its <br /> willingness and ability to perfiorm such work. <br /> N�W, THEREFORE, in cansideration of these rscitals and the mutual ccavenants <br /> contained herein, the Parties agree as follows: <br /> 1. Sco#�e of Work. City r�tains Consultant to pe�for�n, and Consultant agrees to <br /> render, tht�se services (the "Services"} tFaat ar+� defined in attached Exhrbit "A,'° which is <br /> incorporated herein by referenGe. In the event of a conflict between the provisions of <br /> Exhibit `°A" and the terms of this Agreement, the terms o� this Agreement shall prevail. <br /> Gity shall I�ave the r�ght to modify the scope of work to delete tasks in whole or in part. <br /> 2. Stand�rd of Perfarm�ance. While perFarr�ing the Services, Consultant will <br /> exercise the reason�ble prafessionaf c�re and skill customarily exercised by rep�t�bl� <br /> members caf Gonsultant's profession practicing i� the urban Northern Galifornia Area, <br /> and wiil use reasonable diligence and best judgment while exercising its prafessianal <br /> skill and experti��;. <br /> 3. Term.
