appointed representative. San Carlos representatives shall have access to work being <br /> performed within the corporate limits of San Carlos at all times, and without restriction, for the <br /> purposes of inspection of such facilities. Redwood City and San Carlos representatives shall <br /> cooperate and confer to facilitate the performance of inspection duties incident to expeditious <br /> completion and acceptance of San Carlos' facilities. <br /> 9. San Carlos and Redwood City agree that upon completion, elimination, or <br /> abandonment of work specified under this Agreement and approval thereof by San Carlos and <br /> acceptance thereof by Redwood City, ownership and maintenance responsibilities for the <br /> existing roadways and the improvements installed and constructed thereto under this <br /> Agreement shall continue to vest in San Carlos to the extent said San Carlos-owned <br /> improvements are located within the corporate limits of San Carlos. <br /> 10. It is also understood and San Carlos agrees that upon completion of the work <br /> specified under this Agreement, San Carlos shall continue to have all ownership and <br /> maintenance responsibilities over the San Carlos-owned facilities within San Carlos limits. <br /> 11. San Carlos and Redwood City agree that upon completion of the work within the <br /> corporate limits of San Carlos specified under this Agreement and approval thereof by San <br /> Carlos and acceptance thereof by Redwood City the total cost incurred by Redwood City for <br /> administration and construction of San Carlos' facilities, as described herein, shall be <br /> determined, and billed to San Carlos. Payment from San Carlos shall be due within thirty (30) <br /> days of the invoice date. <br /> 12. In the event of a disagreement regarding the actual costs incurred by Redwood <br /> City for administration and construction of San Carlos' facilities, San Carlos' share will be based <br /> on and determined by an actual field measurement of the work performed within the corporate <br /> limits of San Carlos to be made jointly by representatives from Redwood City and San Carlos <br /> plus ten (10)% project management costs. <br /> 13. Redwood City shall only accept the work accomplished within the limits of San <br /> Carlos after receiving written approvai from San Carlos' representative.
