t 0 M <br />AMENDMENT NO.3 <br />TO <br />CONSTRUCTION AND REIMBURSEMENT AGREEMENT <br />FOR RELOCATION OF REINFORCED CONCRETE BOX CULVERT <br />This Amendment No. 3 is entered into and effective as of the _ day, of <br />, 2003, amending the agreement dated April 8, 2003, (the <br />"Agreement ") by and between the Redevelopment Agency of the City of Redwood City, <br />a public body, corporate and politic ( "Agency "), the City of Redwood City, a charter city <br />and municipal corporation ( "City"), and BHV Innisfree Ventures I, LLC, a California <br />limited liability company, in which Cinema Square, LLC, a California limited liability <br />company and Blake Hunt Ventures I, LLC, a California limited liability company, are the <br />sole members ( "Developer") (collectively, the "Parties ") for the relocation of reinforced <br />box culvert. <br />RECITALS <br />A. On April 8, 2003 the Parties executed Amendment No. 1 to the Agreement to <br />make certain clarifying changes to the Agreement; and <br />B. On July 21, 2003 the City Council authorized execution of Amendment No. 2 <br />to the Agreement to advance funds to the Developer to permit the clearance of asbestos <br />in, and demolition of, certain structures to facilitate the completion of the Culvert; and <br />C. The Parties wish to amend the Agreement's scope of work to permit the <br />construction of a storm drain system related to the construction of an underground <br />public parking garage that will tie into the culvert in Jefferson Avenue and the demolition <br />of the box culvert under Jefferson Avenue and Middlefield Road; and <br />D. The Parties have negotiated and agreed to a supplemental scope of work and <br />fee schedule for this Amendment, which is attached to and incorporated by this <br />reference as Exhibit "A," Scope of Services and Fee. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. In addition to those services contained in the Agreement, as may have <br />been amended from time to time, Developer will provide those services described in <br />Exhibit "A." <br />2. Developer will be paid, for all work associated with those services <br />described in Exhibit "A," three hundred thousand dollars ($300,000). <br />3.
