All of the work to be done on the <br /> <br />Project shall be done under the direction and supervision of, and <br />with and to the approval of, City or its authorized <br />representative, and CM/GC shall cause the work to be done in the <br />best workmanlike manner, conforming strictly to the provisions of <br />the specifications and plans made therefor and within the time <br />agreed upon by the parties. <br /> <br /> CM/GC shall be responsible to City for the act and omissions <br />of CM/GC's agents, employees and Subcontractors and their agents <br />and employees, for work performed under this Agreement. <br /> <br /> 3. COMPENSATION; EXPENSES; PAYMENT. (a) CM/GC <br />Compensation. City shall compensate CM/GC for all services <br />performed by CM/GC hereunder in an amount based upon CM/GC's <br />hourly rates described in Exhibit "B", attached hereto and by <br />this reference incorporated hereiD. Ccmpensation will be made in <br />accordance with the schedule of payments corresponding to the <br />Phases of services to be performed and more fully described in <br />Exhibit "B". <br /> <br /> Notwithstanding the foregoing, the combined total of <br />compensation and reimbursement of costs payable hereunder for <br />construction management, general contractor and related services, <br />as described in Exhibit "A", shall not exceed the sum of Five <br />Hundre~ Forty One Thousand Four Hundred Seven and No/100 Dollars <br />($541,407.00) unless the performance of services and/or <br />reimbursement of costs and expenses in excess of said amounts <br />have been approved in advance of performing such services or <br />incurring such costs and expenses by City's City Council, <br />evidenced by motion duly made and carried.
