����� '6�:6'3 <br /> AMENDMENT NO 2 TO EXTEND AND AMEND AGREEMENT FOR <br /> PROFESSIONAL SERVICES <br /> (Shums Coda &Associates, Inc.) <br /> This A ndment No. 2 is entered into and effective as of the � day of <br /> � , 2013, extending and amending the agreement dated May <br /> 21, 2012 by ,a b tween the City of Redwood City, a charter city and municipal <br /> corporation of- he tate of California ("City"), and Shums Coda & Associates, Inc., <br /> ("Consultant") (col ctively, the "Parties") for Professional Services. <br /> RECITALS <br /> A. On May 21, 2012, the Par�ies executed Agreement for Professional <br /> Services ("Original Agreement"); and <br /> B. On February 13, 2013, the Parties executed Amendment No. 1 to <br /> Agreement for Professional Services ("Amendment No. 1"); and <br /> C. The Parties have negotiated and agreed to amendments attached to and <br /> incorporated in by reference as Exhibit "A," Scope of Services and Fee. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. The Agreement is hereby extended for a period ending on June 30, 2014. <br /> 2. In addition to those services contained in the Agreement, Consultant will <br /> provide those services described in Exhibit "A." With this Amendment, the total <br /> Agreement amount shall not exceed Four Hundred Fifty Thousand and 00/100 Dollars <br /> ($450,000.00). <br /> 3. City will pay Consultant for all work associated with those services <br /> described in Exhibit "A" on a time and materials basis an amount not-to-exceed Two <br /> Hundred Fifty Thousand and 00/100 Dollars ($250,000.00), for an aggregate amount of <br /> $450,000.00. Consultant will provide City, on a monthly basis, copies of invoices <br /> sufficiently detailed to include hours performed, hourly rates, and related activities and <br /> costs for approval by City. <br /> 4. All other provisions of the Agreement, as may have been amended from <br /> time to time, will remain in full force and effect. <br /> 5.
