� O��GINAL <br /> AMENDMENT NO. 3 TO EXTEND AND AMEND AGREEMENT FOR <br /> AGREEMENT FOR PROFESSIONAL SERVICES) <br /> (Shums Coda 8�Associates, Inc.) <br /> his mendment No. 3 is entered into and effective as of the� day of <br /> , 2014, extending and amending the agreement dated May <br /> 21 0 3 t "Agre menY') by and between the City of Redwood City, a charter city and <br /> m ic' al corpora ' n of the State of California ("City"), and Shums Coda &Associates, <br /> Inc., ("Consultan (collectively, the "Parties") for Jurisdiction Plan Reviewer. <br /> RECITALS <br /> A. On May 21, 2012, the Parties executed Agreement for Professional <br /> Serives. On February 13, 2013, the Parties executed Amendment No. 1 to Extend and <br /> Amend Agreement for Professional Services. On July 8, 2013, the Parties executed <br /> Amendment No. 2 to Extend and Amend Agreement for Professional Services (The <br /> Original Agreement and Amendment No. 1 and Amendment No. 2 are collectively <br /> referred to as the "Agreement"); and <br /> B. The Parties have negotiated and agreed to amendments attached to and <br /> incorporated in by reference as Exhibit "A," Scope of Services and Fee. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. In addition to those services contained in the Agreement, as may have <br /> been amended from time to time, Consultant will provide those services described in <br /> Exhibit "A. <br /> 2. City will pay Consultant for all work associated with those services <br /> described in Exhibit "A" on a time and materials basis not-to-exceed Two hundred fifty <br /> thousand dollars ( 250 000), for an aggregate amount of Seven hundred thousand <br /> dollars ( 700 000). Consultant will provide City, on a monthly basis, copies of invoices <br /> sufficiently detailed to include hours perFormed, hourly rates, and related activities and <br /> costs for approval by City. <br /> 3. Consultant will complete all work described in Exhibit "A" by June 30, <br /> 2014. <br /> 4. All other provisions of the Agreement, as may have been amended from <br /> time to time, will remain in full force and effect. <br /> 5.
