<br /> AGREEMENT
<br /> NOV�T, THEREFORE, the City and the De�eloper (together, the "Par�ies") hereby agree as
<br /> follows:
<br /> 1. PURPOSE OF AGREEMENT. The purpose of this Agreernant is to assure the
<br /> rnaintenance, periodic inspection, repair, safe operation and, if and when necessary, replacement of the
<br /> Irnprovements by the Developer at its expense in accordance with the s#andards, including the
<br /> Maintenance Standards(de£�ned in Section 4 below), set forth herein.
<br /> 2. IMPROVEMENTS AS A BENEFIT. The Developer agrees that the Ixnprovements will
<br /> rnaterially benefit the Property and that Developer's rnaintenat�ce, repair, safe operation and, if attd when
<br /> necessary, replacement thereof in accordar�ce with this Agreement is necessary for approval of the
<br /> Developer's Final Map for 201 Marshall Street.
<br /> 3. DEVELOPER'S RESPQNSIBILITIES. Developer, at its sole expanse, shall �aintain,
<br /> safal� opei•ate, periodically inspect, repai�•, resurfaee and, if and when reasonably necessary, replace the
<br /> Improvements identi�ed in Exhihit"B", as well as perform a(1 necessary service on rnainter�ance
<br /> equiprnent, in arder to ensure the attractive and healthy appearance of the landscaping, the attractive
<br /> appearance, condition and safety of any and all struuctures, and the efficient operation of all of fhe
<br /> Improvements, including paying the elech�ical expense of operating the pedest�rian Iight and irrigation
<br /> controller, said elect�•ical expense to be paid by the Developer upon the direct receipt of invoices for
<br /> electrical service from Paei�c Gas and Electric, all in accordance with the Maintenance Standards
<br /> described in Section 4 below,and industry and City standards applicable to similar impravem�ents.
<br /> �. MAINTENANCE STANDARDS. The �ollowing standards (callectively, "Maintenanca
<br /> Sta�dards") shall be corr�plied with by Developer and its mai�►ter�ance staff, contractors and
<br /> s�xbcontractors in connectio�.with the required maintenance of�he Impro�uernants:
<br /> a. The Irriprovements shali be maintained in cornpliance with the Plans and Final
<br /> Map, in good condition, and in accordance with the custom and practice generally applicable ta p�blic
<br /> rights-of way within the City of Redwood CiLy.
<br /> b. Landscape tnaintenance shall include, but not be lirnited to: watering/irrigation;
<br /> fertilization; periodic trim�ing,rnowing,and/or edging o�grass and lawn areas; pruning of trees, shrubs,
<br /> and ot�er vegetation; trimrning and shaping of trees and shrubs to main�ain a healthy,natural appearance,
<br /> �sa�e road canr�itions and �+isibility, and irrigation co�erage; removal and replacernent, as needed, of all
<br /> plant materials; control of weeds in all planters, shrubs, lawns, graund covers, or other planted areas; and
<br /> stalcing for suppoi�t of trees.
<br /> c. Clean-up rr►aintenance shall include, bu� not be limited to: mai�tenance af a11
<br /> sidewalks, paths and other paved areas in clear� and weed�free condition; maintenance of all such areas
<br /> cIeac of dirt,mud,trash, debris or other matter which is unsafe oi•unsightty;removal of alI trash, litterr and
<br /> other debris fio�n improvements and landscaping prior to rr�owing; clea�•anee and cleaning of aIl areas
<br /> maintained prior to the end of the day on which the maintenance operatio�s az•e per�or�aasd to ensure that
<br /> ali cuttings,vveeds,leaves and other debris axe properly disposed of by maintenance warkers.
<br /> d. Lighting r�aintenance shall include prompt replacemen�of inoperable light bulbs,
<br /> repair and:replaceme�t of da�aged light fixtiuras and timaly payment of electrical costs to Pacifie Gas and
<br /> Electric.
