<br /> E. The City and the Developer desire to enter into an agreement pursuar►t to which the
<br /> Developer will �naintain t1�e Improvements within the Maintenance Area as both are depicted on
<br /> E�ibit"B".
<br /> AGREEMENT
<br /> NOW, THEREFORE, the City and the Developer (together, t�e "1'arties") here�y agree as
<br /> follows:
<br /> l. PURPOSE OF AGR�EMENT. Th.e purpose of this Agreement is to assure the
<br /> maintenance, periodic inspection, repair, safe operation and, if and when necessary, replacement of the
<br /> Improvements by the Developer at its expense in accordance with the standards, including the
<br /> Mai�ntenance Standards(defined in Section 4 below),set forth herein.
<br /> 2. IMPROVEMENTS AS A BENEFIT, The Developer agrees that the Improvements will
<br /> materially benefit the Praperty and that Developer's maintenance, repair, safe operation and, if and when
<br /> necessary, replacement thereof in aocordance with this Agreement is nec�ssary £ar approval of th�
<br /> Developer's Final Map.
<br /> 3. DEVELOPER'S RESPONSIBILITIES. Developer, at its sole expense, shall tnaintain,
<br /> safely operate, periodically inspect, repair, resurface and, if and when necessaty, rreplace the
<br /> Iir�proeements identi�ed in Exhibit "B", as well as perform all necessaiy service on maintenance
<br /> equipznent, in order to ensure the attractive and healthy appearance of t�ie landscaping, tha attractive
<br /> appearance, conditiion and safety of any and all structures, and the effioient operation of all of the
<br /> Improveme�ts, including paying the elec�rical expense of operating the pedestrian light and irrigatian
<br /> controller, said electrical expense to be paid by the Developer upon the direct receipt of invoices far
<br /> elec�iical service from Pacific Gas and Elec�ric, all in accordance �vwith the Mainter�ance Standards
<br /> described in Section 4 belnw, and industry and City standards applicable to similar improvements, i
<br /> 4, MAINTENANCE STANDARDS. The following standards (collectiv�ly, "Maintenance
<br /> Standards"} shall be camplied with by Developer and its maintenance staff, contractors and
<br /> subcontractors in; connection with the required maintenance of th� I�proveme�ts in t�e Maintenance
<br /> Area:
<br /> a. The Improvements shall be maintained in compliance with the I'la�s a�d Final
<br /> Map, in good condition, and in accordance with the custam and practice generally applicable to public
<br /> �•ights-of-�ovay within#he City of Redwood City.
<br /> b. Landscape maintenance shall include, but not be limited to: watering/irrigation;
<br /> fertilization; periodic trimrning, mawing, and/or edging o�grass and lawn areas; pruning of�rees, shrubs,
<br /> and other vag�tation; tri�nming and shaping of trees and shrubs to maintain a healthy,natural appearance,
<br /> safe road conditions and visibility, and i�nrigation coverage; remaval and replacement, as needed, af all
<br /> plant materials; contral of weeds in all planters, shr�bs, lawns, ground covers, ar ather pla�ted areas; and
<br /> staking for suppart of t�•ees.
<br /> c. Clear�-up rnaintenance shall include, but not be li�ited to: maintenance in a
<br /> nnat�ner consistent with Section 4 a abave of al( sidewalks, pat�as and other paved areas in olean and weed-
<br /> free condition; maintenance in a rnanner consiste�nt vvith Section 4 a abave of all suck areas clear of dirt,
<br /> mu€d,trash,debris or o#her ma�ter which zs unsafe or unsightly;ramoval af all trash, litter and ather deb�•is
<br /> from improvements and landscaping prior to rr�owing; c�earance and cleaning of al1 axeas maintained prior
