6.1.D. - Page 3 <br /> LIVE PERFORMANCE AGREEMENT <br /> (Zoppe) <br /> This Agreement is made and entered into as of the day of , 2012, <br /> by and between the City of Redwood City, a charter city and municipal corporation of <br /> the state of California( "City"), and Zoppe, an Italian Theatrical Circus, ("Performers") <br /> (collectively, the "Parties"). <br /> IN CONSIDERATION of the mutual promises set forth herein, and for other good <br /> and valuable consideration, the receipt of which is hereby acknowledged, the City <br /> hereby engages New World Classics ("Agent"), care of Kerby Lovallo as agent to <br /> Zoppe, to secure Performers' services upon the following terms and conditions: <br /> RECITALS <br /> A. The City is expending effort and resources to position Redwood City's <br /> Downtown as "The Arts and Entertainment Destination on the Peninsula." <br /> B. In a December 2010 Redwood City Neighborhood Survey, the second <br /> highest rated City service was "attracting people to Downtown;" and "70% of <br /> households have attended a Downtown event;" and that "those who have attended a <br /> Downtown event also showed a higher sense of community than those who have not." <br /> C. Since 2008, the Redwood City Redevelopment Agency has contracted <br /> with the Zoppe Circus to performance in Redwood City, which have received <br /> satisfactory levels of patronage and contributed to creating a vibrant Downtown <br /> environment. <br /> D. As a result of state legislation, Redwood City's Redevelopment Agency is <br /> now defunct and cannot provide funding for this event. The City Council finds that <br /> expending general funds for this event serves a public purpose because it helps bring <br /> business to the downtown and furthers a greater sense of community. <br /> E. The City desires to sponsor the return of Zoppe Circus to Downtown <br /> Redwood City to perform 19 shows in October 2012. <br /> F. The City is entitled to all ticket sale revenues, which are expected to total <br /> at least $130,000; the maximum gross potential ticket sale revenues would total <br /> $147,000. <br /> G. The City will expend a total amount not to exceed $105,000, which <br /> includes a $76,000 payment to Performers, in addition to $29,000 to be expended on <br /> marketing, advertising, ticket sales, set up / tear down, clean up, purchase/rental of <br /> ATTY/AG R/2012.0 57/Z O P P E <br /> REV:06-05-12 HS <br /> Page 1 of 12 <br />
