�v-C -23 <br />all other remedies available to the City and the Agency under this <br />Agreement or as a matter of law. The parties acknowledge and agree <br />that the City and the Agency may exercise any and all legal and <br />equitable remedies available to them under the laws of the State of <br />California to enable them to exercise their rights hereunder and to <br />enforce the provisions of this Agreement including, but not limited <br />to, those which are contained in this Section 13 and /or the Deed of <br />Trust. <br />C. The Participating Owner further agrees to pay upon <br />written demand of the City and /or the Agency all reasonable costs, <br />fees and expenses of the City and /or the Agency including, but not <br />limited to, reasonable attorneys fees, court costs and costs <br />attributable to City and /or Agency staff time, incurred in <br />connection with any enforcement by the City or the Agency of its <br />rights under this Agreement or its attachments, or the seeking of <br />any remedies legally available to the City and the Agency related <br />to this Agreement. <br />d. In the event the City or the Agency breaches any of <br />its covenants or obligations under this Agreement, the <br />Participating Owner may exercise all legal and equitable remedies <br />available to the Participating Owner under the laws of the State of <br />California. <br />e. The parties to this Agreement agree and acknowledge <br />that the exercise of any remedy by the City or the Agency under <br />this Agreement or any applicable law will not limit, cancel or <br />invalidate the Affordability Covenants and /or the Redevelopment <br />Covenants. <br />Section 14. Limitation on City and Agency Obligations. <br />The City and the Agency shall have no obligation or commitment to <br />provide any form of financial assistance to the Participating Owner <br />in connection with the Property or the completion of the Project, <br />except the Public Assistance as specifically provided in this <br />Agreement. <br />Section 15. Notices. All notices and demands of any <br />kind which any party hereto may be required or entitled to serve <br />upon any other party under the terms of this Agreement shall be <br />served in writing on such other party by personal service of such <br />notice or demand at the address hereinafter set forth, whereupon <br />service shall be deemed complete and notices and demands shall be <br />deemed to have been received on the date of such personal service; <br />or by mailing a copy thereof by certified or registered mail, <br />K! <br />
