to City. City reserves the right to rec�uire, at any time, com�lete and certified copies of any <br /> or all required insurance policies and endorsements to be provided to City by MCM. For <br /> any claims related to the work under this agreement,MCM's insurance coverage will be <br /> primary insurance with respect to City, its officers, agents, volunteers and employees. Any <br /> insurance or self-insurance maintained by City for itself, its officers, agents,volunteers and <br /> employees, will be in excess of MCM's insurance and not contributory with it. MCM will <br /> notify City thirty(30) days prior to any reduction in any of the insurance coverage required <br /> pursuant to this agreement or any material changes to the respective insurance policies. <br /> 9) Any damages or deficiencies found after receipt of the vessel at its homeport shall be <br /> rectified by MCM and so noted on the Final Acceptance document. MCM will endeavor to <br /> correct such deficiencies immediately,but certain items may require outside equipment that <br /> is beyond MCM's control. <br /> 10) In the case of ship by water, MCM shall provide a crew and approved Captain for the <br /> vessel. <br /> 11) The vessel will be trialed and conditionally accepted by City or City's representative at the <br /> MCM's facility. This signed acceptance will be known as the Preliminary Acceptance and <br /> indicates City or City's representative has inspected the vessel and indicated by his/her <br /> signature that the vessel meets the specifications in all respects and is ready for shipment. <br /> Any deficiencies found by this inspection shall be rectified by the NICM at MCM's <br /> expense and completed in a timely manner prior to shipment of the vessel. <br /> 12) This agreement does not include the costs for a third party inspector to perform inspections. <br /> City is responsible to provide its own inspection during construction. <br /> 13) This agreement includes the cost of shipping from Kingston, Ontario to the Port of <br /> Redwood City, California. <br /> 14) Payments based on submitted invoices and approved documentation shall be made within <br /> 30 days of submission of appropriate documentation. The following is banking <br /> information for wire transfers.
