� � , <br /> .� <br /> �. <br /> � �� � <br /> �T�,FFINC SC�LUTIC�rJS <br /> General Staffing Aare� <br /> Primus Staffing Solutions, Inc., with its principal office located at 3080 Olcott Street, Suite C-230, <br /> Santa Clara, CA 95054 ("STAFFING FIRM"), and City of Redwood City, with its principal office <br /> located at 1017 Middlefield Rd., Redwood Citv CA 94063 ("CLIENT") agree to the terms and <br /> conditions set forth in this General Staffing Agreement(the "AgreemenY'). <br /> STAFFING FIRM's Duties and Responsibilities <br /> 1. STAFFING FIRM will: <br /> a. As needed by CLIENT, Assign one or more of its personnel ("Assigned Staff'), <br /> qualified and able to fill the needs of CLIENT, to perform the types of work <br /> described on Exhibit"A" attached hereto at Client's place of business; <br /> b. Pay Assigned Staff wages and provide them with the benefits that STAFFING FIRM <br /> offers to them, if any. Pay, withhold, and transmit payroll taxes; provide <br /> unemployment insurance, y�neral liability insurance, and workers' compensation <br /> benefits; and handle unem�loyment and workers' compensation claims involving <br /> Assigned Staff; <br /> c. Provide additional and rep!acement Assigned Staff to CLIENT as requested by <br /> CLIENT. In the event STAFFING FIRM is unable to provide Assigned Staff <br /> meeting the qualifications and requirement of CLIENT within three months of <br /> CLIENT'S request, this Agreement shall terminate; <br /> d. Require Assigned Staff to sign agreements as set forth on Exhibit "B" attached <br /> hereto acknowledging that they are not entitled to holidays, vacations, disability <br /> benefits, insurance, pensions, or retirement plans, or any other benefits offered or <br /> provided by CLIENT to its er!�ployees; and <br /> e. Require Assigned Staff to sign confidentialiry agreements as set forth on <br /> Exhibit"C" attached hereto before they begin their assignments to CLIENT. <br /> CLIENT's Duties and Responsibilities <br /> 2. CLIENTwill: <br /> a.
