6.1.E. - Page 3 <br /> LICENSE AGREEMENT <br /> (PENINSULA FAMILY SERVICE) <br /> THIS LICENSE AGREEMENT ("Agreement" or "License"), is made and entered <br /> into as of the day of , 2012 by and between the CITY OF REDWOOD <br /> CITY, ("City" or "Licensor") a public body, corporate and politic, duly organized and <br /> existing under the laws of the State of California, and the PENINSULA FAMILY <br /> SERVICE, a private non-profit corporation in the State of California ("Licensee") <br /> (collectively, the "Parties" or the "Parties to this License"). <br /> RECITALS: <br /> A. WHEREAS, Licensor is the owner of record of the real property and <br /> improvement located at Fair Oaks Community Center, 2600 Middlefield Road, <br /> Redwood City, California, 94063, which houses the Fair Oaks Adult Activity <br /> Center; and <br /> B. WHEREAS, Licensor requires the services of Licensee, which has operated <br /> senior programs and activities at the Fair Oaks Adult Activity Center since July, <br /> 2000; and <br /> C. WHEREAS, Licensor has reviewed the Programs provided at the Fair Oaks Adult <br /> Activity Center and desires to continue its agreement with Licensee to conduct its <br /> programs, at the location described in Exhibit "A," attached hereto and <br /> incorporated by this reference; and <br /> D. WHEREAS, Licensor requires Licensee to perform, and Licensee agrees to <br /> render, those services that are defined in Exhibit "B," attached and incorporated <br /> by this reference in accordance with the terms and conditions set forth herein; <br /> and <br /> NOW THEREFORE, in consideration of these recitals and the terms, covenants, <br /> and conditions contained herein, Licensor and Licensee agree as follows: <br /> 1. GRANT OF LICENSE. <br /> 1.1 The recitals set forth above are true and correct, and are hereby <br /> incorporated herein by this reference as if fully set forth in their entirety. <br /> 1.2 Licensor hereby grants to Licensee a revocable license for use of the <br /> Premises, as defined below, on the terms and upon the conditions set <br /> forth in this Agreement. <br /> 1.3 The Center Manager of the Fair Oaks Community Center ("Center") or <br /> his/her designee serves as Administrator of this License on behalf of the <br /> ATTY/AGR/2012.111/PENINSULA FAMILY SERVICE <br /> REV:08-28-12 JS <br /> Page 1 of 10 <br />
