6.1.E. - Page 5 <br /> 2.5 MAINTENANCE AND REPAIRS. The Licensor shall provide maintenance <br /> and custodial services to keep the Premises in a clean, orderly and <br /> sanitary condition. If damage to the Premises occurs the Licensee must <br /> immediately contact the Licensor and report the problem. The Licensee <br /> should take care of immediate safety issues but not make any major <br /> repairs without prior written approval from Licensor. Licensee agrees to <br /> keep the nutrition service areas sanitary according to public health <br /> standards and inform Licensor of any public health needs. Licensee also <br /> agrees to comply with Center Building Use Policies and Practices as <br /> instructed by Licensor. If damage to the Premises occurs, Licensee shall <br /> immediately notify Licensor in writing of the damage. Notification shall <br /> include the date, time and description of the event that led to the damage <br /> and the extent of the damage. <br /> 2.6 EQUIPMENT. Licensee is entitled to use the kitchen equipment, office <br /> furniture, tables and chairs. In the event that there is a need for additional <br /> appliances or furniture, Licensee shall pay for the purchase or rental <br /> thereof and all additional costs associated therewith. In the event that <br /> there is a need for repair or replacement of appliances, furniture, <br /> equipment or any other item used by both parties (collectively the <br /> "Equipment"), Licensor and Licensee shall each pay for the costs of their <br /> respectively owned Equipment, unless the parties agree otherwise. <br /> 2.7 KEYS AND LOCKS. Licensee shall be issued the necessary keys that <br /> enable access to the Premises. Licensee will be required to complete all <br /> necessary paperwork related to the issuance of the keys. <br /> 3. SERVICES <br /> Licensee agrees to and shall provide the services and programs described in <br /> Exhibit B attached hereto and incorporated herein by reference. <br /> 4. TERM. <br /> The term of this Agreement is five (5) years but may be extended for additional <br /> terms by mutual agreement of the parties. A party desiring to extend the <br /> Agreement shall provide written notice to the other party, six (6) months prior to <br /> the expiration date of the Agreement. <br /> 5. RECIPROCATION. <br /> The parties agree that the purpose of this Agreement is to jointly provide services <br /> to the older adult population and community in Redwood City and further agree <br /> that provision of the services described herein by Licensee is adequate and <br /> complete compensation to Licensor for the use of Licensor's property and that <br /> affording to Licensee the use of Licensor's property by Licensee is adequate and <br /> complete compensation to Licensee for the provision of such services by <br /> Licensee.
