6.1.E. - Page 60 <br /> portion of the Project, Contractor will be fully respa�sible to City for the acts and <br /> omissions of Contractor's subcontractor and of the persons either directly or <br /> indirectly employed by Contractor. Nothing cantained in this Agreement will <br /> create any contractual relationship between any subcontractor of Contractar and <br /> City. Contractor will be responsible for payment of su�contractors. Contractor <br /> will bind every subcantractor and every subcontractor of a subcnntractar by th� <br /> terms of this Agreement applicable to Cantractor's work unless specificalfy noted <br /> ta the contrary in the subcontract and appro�ed in writing by City. <br /> 14. HOLD HARM�ESS. Contracfior hereby agrees to defend, indemnify <br /> and save harmless City, its Council, officers, boards, commissions, agents and <br /> employees {coflectively, "Indemnitees") against and from any and all claims, suits <br /> or actions of every name, kind and description, which may be brought against <br /> Indemnitees, or any of them, by reason of any inj�ry to, or death of, any person <br /> (including corporations, partnerships and association) or damage sufFered or <br /> sustained by any such person or property damage {including lass of use thereo� <br /> arising from, or alieged ta have arisen from, any act or omission to act, negligent <br /> or otherwise, of Cantractor, its officers, agents or employees under this <br /> Agr�em�r�t. <br /> The duty af Cantractor to defend, ind�mnify and save har�nless, as set <br /> forth herein, will include the duty to defend as set forth in Section 2778 of the <br /> California Ci�il Code; pro�ided, however, that nathing herein will be construed to <br /> reguire Contractor to indemnify Inderxrnitees agairrst any responsibifity or liability <br /> in contTavention of Section 2782 of the California Civif Code.
