TERMINATION. Either party may terminate this AgTeement without cause at any time during the ferm hereof by giving the other party not iess than thirty {3a) days prior wrftten notice of such termination. In the event of such termination, Contractar will submit a final invoice for any expenditure incurred up to and including the �ate of termfnation. Contractor will submit to C+ty a final report of acti�ities funded Y�er�under within thirty (30) days after the date of termination. Notwithstanding the foregoing, Ciiy may terminate this Agreement, by giving Contractor not less than f�e (5} days priar written �otice, upon the occurrence of any of the followi�g: a} Federal Community De�elopment Block Grant funds cease, for any reason, to be a�ailable to City; or b) City has determined that the funds pro�ided hereunder have been, ar are being, used for purposes atf�er than tl�ose described in �xhi�its A andlor B; or c) Cantractor's failure to �erform under this Agreement. Nathing contained in this Paragraph 11 will be deemed to limit the right af the Parties to termir�ate this Agreement #ar cause or oth�erwise to exercise a�y right or pursue any remedy which may accrue ta them. 12. CONTRACTQR'S STATUS. In the performance af the obligations set forth in this Agreement, Contractor will have the status of an independent cantractor and will not be deerned ta be an employee, agent or officer of City. 13. SUBCONTRACTING. Contractor wiFl not subcontract any portion of the Project without prior written appro�al of City.
