6.1.E. - Page 87 Contractor shall prouide City with a copy of its rr�os# recent independent audit conductec! in accordance with the Single Audit Act of 1984, OMB Circular A-110 Uniform Requirements for Grant and Other Agreement and generally accept�d a�diting standards covering financial and compfiance audits. Audit shall be submitted to the City with the end of the year annual report pursuant to section 6. $. TERMINATION. �ither pa�ty may terminate this agreemen# without cause at any time during the term hereof by giving the other party not less #han thirty (30) days' prior written notice of such termination. In the e�ent of such termination, Contractor shall submik a final report for any expenditure incurred prior to the date af termination. Contractnr shall submit to City a final repart of acti�ities funded hereunder within thirty (30) days from the date of termination. Contractor shall also return to City any and all unexpended funds as of the date of termination, within thirty (30) days#rom the date of termination. Notwithstanding the foregoing, City may terminate this agreement upon the occurrence of either of the following: (a) Human Service F�inancial Assistance fu�ds cease, for any reasan, to be available to City, or (b) City has determined that#he funds provrded hereunder ha�e been, or are being, used for purposes other than those describe� in Exhibit A. In either of the foregoing circumstances, City shal! gi�e Contractor not Isss than five (5) days' prior written nofice of t�rmination of such reason. Nothing cantained in t�is paragraph shall be deemed to limit the right of the parties ta terminat� this agreement for cause or otherwise to exercise any right or pursue any remedy which may acc�ue to them. 9. AflDIT; MONiTORING. City may audit the records and accounts af Contractor for the purpose of �erifying expenditures by Contractor of funds pro�id�d hereunder or verifyir�g statements or analyses made or pro�ided by Contractor hereunder. Cantractor shall respond to, and comply with, any audit exception made ar taken by City relating to Contractor's performance or failure to pe�form hereunder, Contractar shall pay City the amnunt determined by the City to be due as a result of any such audit exception.
