HOLD HARMLESS. Contractor hereby agrees to defend, indem�ify <br /> and save harrnless City, its Council, officers, boards, commissions, agents and <br /> employees (collectively, "Indemnite�s") against and fram any and afl claims, suits <br /> or actions af e�ery name, kir�d and description, which may be braught against <br /> Indemnitees, or any of them, by reason o# any injury to, or death nf, any person <br /> (including corporations, par�nerships and association) or damage suffered ar <br /> sustained by any such person or property �amage (including loss of use thereo� <br /> arising from, or a�leged to have arisen from, any act or omissian to act, negligent <br /> or otherwise, of Contractar, its nfficers, agents or employees under this <br /> Agreem�nt. <br /> The duty of Contractar to defend, indemrtify and save harmfess, as set <br /> forth herein, wiil indude the du#y to defend as set forth in Section 2778 of the <br /> California Civil Code; pravided, however, that nothing herein wi�! be construed to <br /> require Contractor ta indemnify Indemnitees against any respansibility or liability <br /> in contravention of Section 2782 of the California Civil Code.
