T�RMINATfON. �ither party may terminate this Agr��ment without cause at any time during the term hereaf by giving the other party not less tF�an thirty (30) days prior writt�n not�ce of such termination. In the event of such termination, Contractor wilf submit a final �nvaice for arty expenditure incurred up to and including fhe date of termination. Contractar will submit to City a finaE report of activities funded hereunder within thirty (30) days after the dat� of termina#ion. Nofwithstanding the for�going, Cifiy may terminate this Agreement, by giving Contractor not less than five (5} days priar written natice, upon the accurrence of any of the following: a) Fed�ral Community De�elopment Block Grant funds cease, for any reason, to be available to City, or b} City has d�termined that the funds provided hereunder have been, or are being, used for purposes other than thos� describ�d in Exhibits A andlor B; or c) Contractor's faifure to perform under this Agreement. Nnthing contained in t�is Paragraph 11 will be deemed to fimit the right of �he PartiES to terminate �his Agreement for cause or otherwise ta exercise any right or pursue any remedy which may accrue to them. �2. CONTRACTOR'S STATUS. In t�te performance of the obligations set forth in this Agreement, Contractor wi�l have the status af an independent contractor and wilE not be deemed to be an employee, agent or officer of City. 13. SUBCONTRACTING. Co�tractor wifl nofi subcontract any portion of the Project without prior written appra�al af City.
