Nnthing cantained in this Agreement wiil <br /> create any contractual relationship between any subcontractor of Contractor and <br /> City. Contrac#ar will be responsibl� for paymer�t of subcontractors. Contractor <br /> will �ind e�ery subcontractor and every subcontractor of a subcontractor by #he <br /> terms of this Agreement applicable #o Contractor's work unless specificaily noted <br /> to the contrary in the subcontract and appro�ed in writing by City. <br /> 14. HOLD HARMLESS. Contractor hereby agrees to cEefend, indemnify <br /> and save harmless City, its Counci�, afficers, boards, cammissions, agents and <br /> errtployees (collectively, "Indemnitees") against and from any and ali claims, suits <br /> or actions of every name, kind at�d descriptinn, which may be brought against <br /> Indemnitees, or any af them, by r�ason of a�y injury to, or death of, any persan <br /> (including corparations, partnerships and assaciation) ar damage suffered or <br /> sustained by any such person or property damage (including loss af us� thereof} <br /> arising from, or alleged to have arisen frorn, any act or amission to act, negligent <br /> or otherwise, of Contractor, its officers, agents or empioyees under #his <br /> Agreement. <br /> The duty nf Contractor to defend, indemnify and save harmfess, as set <br /> forth herein, will include tne duty to defend as set forth in 5ection 2778 of the <br /> Califflrnia Civil CQde; provided, �owe�er, that nothFng herein will be construed to <br /> re�uire Contractor to indemnify Indemnitees against any responsibility or liability <br /> in contra�ention of Section 2782 of th� Califarnia Civi! Code. This Paragraph 1� <br /> shall survive the termination of this Agreement. <br /> 15. INSURANCE.
