Nothing contained in this Agreement will <br /> create any contractual relationship between any subcan#ractar of Contractor and <br /> City. Contractor <br /> wilf bind every subcontractor and every subcantractor of a subcankractor by the <br /> terms of this Agreement applicable to Contractor's work unless specifically noted <br /> to the contrary i� the subcontract and approved in writing by City. <br /> 14. H�LD HARMLESS. Contractor her�by agrees to defend, indemnify <br /> and save harmless City, its Cauncil, officers, boards, commissior�s, agents and <br /> employees (collecti�ely, "Indemnitees") against and from any and all claims, suits <br /> or actions of e�ery name, kind and description, which may be brought against <br /> lndemnitees, or any af them, by reasan of any injury to, or death of, any persan <br /> (including corporatians, partnerships and association) ar damag� suffered or <br /> sustained by any such person or property damage (including loss of use thereo� <br /> arising from, or alleged to have arisen from, any act or omission #o act, negligent <br /> or otherwise, of Contractor, its officers, agents or employees t�nder this <br /> Agreement. <br /> The duty of Contractor to d�fend, indemnify and save harmfess, as se# <br /> farth herein, will include the duty tn defend as set forth in Section 2778 af the <br /> Cafifornia Civil Code; provided, howe�er, that nathing herein w�fl be construed to <br /> require Contractor to indemnify Indemnitees against any responsibilify or liability <br /> in contra�ention af Section 2782 of the Califarnia Civil Code.
