TERMINATION. Either party may terminate this Agreement without <br /> cause at any time during the term hereof by giv�ng the other party not less than <br /> thirty (30) days prior written notice of such termination. In the event of such <br /> t�rmination, Contractor will submit a final invoice for any expenditure incurred up <br /> to and including the date of terminatian. Contractor will submit ta City a final <br /> report af activities funded hereunder within thirty (30} days after the date of <br /> terminatian. <br /> Notwithstanding the foregoing, City may terminate this Agreement, by <br /> giving Contractor not iess than five {5) days prior written notice, upon the <br /> occurrence of any of the following: <br /> a) F'ederal Community Development Block Grant #unds c�ase, for any <br /> reason, to be a�ailable to City; or <br /> b) City has determined that the fur�ds pro�ided here�nder ha�e been, or are <br /> being, used for purposes other than t�ose described in Exhibits A andlor <br /> B; or <br /> c} Contractor's failure to pertorm under this Agreement. <br /> No#hing contained in this Paragraph 11 will be deemed fo limit the right of <br /> the Parties to terminate this Agreement for cause or otherwis� to exercise any <br /> right or pursue any remedy which may accrue to them. <br /> 12. CONTRACTOR'S STATUS. In khe performance af th� obligations <br /> set forth ir� this Agreement, Contractor will ha�e the status of an independent <br /> contractor and will not be deemed ta be an �mployee, agent or ofFicer of City. <br /> �3. SUBCONTRACTING. Contractor will not subcontract any portion of <br /> the Project withaut prior written appro�al af City.
