TERMINATION. Either party may terminate this Agreement without cause at any time during the term hereof by giv�ng the other party not less than thirty (30) days prior written notice of such termination. In the event of such t�rmination, Contractor will submit a final invoice for any expenditure incurred up to and including the date of terminatian. Contractor will submit ta City a final report af activities funded hereunder within thirty (30} days after the date of terminatian. Notwithstanding the foregoing, City may terminate this Agreement, by giving Contractor not iess than five {5) days prior written notice, upon the occurrence of any of the following: a) F'ederal Community Development Block Grant #unds c�ase, for any reason, to be a�ailable to City; or b) City has determined that the fur�ds pro�ided here�nder ha�e been, or are being, used for purposes other than t�ose described in Exhibits A andlor B; or c} Contractor's failure to pertorm under this Agreement. No#hing contained in this Paragraph 11 will be deemed fo limit the right of the Parties to terminate this Agreement for cause or otherwis� to exercise any right or pursue any remedy which may accrue to them. 12. CONTRACTOR'S STATUS. In khe performance af th� obligations set forth ir� this Agreement, Contractor will ha�e the status of an independent contractor and will not be deemed ta be an �mployee, agent or ofFicer of City. �3. SUBCONTRACTING. Contractor will not subcontract any portion of the Project withaut prior written appro�al af City.
