Audit sha[I be submitted to the City with the end of the year annual repart pursuant ta section 6. $. 7ERMINATIDN. Either party may terminat� this agreement without cause at any time during the term her�af by gi�ing the other party not less than thirty (30) days' prior writteR notice of such t�rmination. In the event of such terminatian, Contractor shall submit a firtal report for any expenditure incurred prior to the date of termination. Contractor shall submit to City a final repart of activities funded hereunder within fhirty (30) days from the date of termination. Contractar shall also return ta City any and all unexpended funds as af#he da#e of termination, within thirty (30) days from the date of termir�ation. Notwithstanding the foregoing, City may #erminate this agreement upon the occurrence of either of the fo�lowing: (a) Human Senrice Financiaf Assistance funds cease, for any reason, to be . available to City; or (b) City has determinecf that t�e funds pro�ided hereunder ha�e been, or are being, used for purpos�s other than those described in Exhibit A. In either�fi the foregoing circumstances, City sF�all gi�e Contractor not i�ss than fi�e (5) days' prior written notice af terrninatiart of such reason, Nothing co�tained in this paragraph shall be deemed to limit the right of the parties to terminate this agreement for cause or otherwise to exercise any right or pursue any remedy which may accrue to them. 9. AU�IT; MONITORING. City may audit the records and accounts of Contractor for th� purpose of verifying expendi#ures by Contractor nf funds provided hereund�r or �erifying statements ar analyses made ar pro�ided by Contractor hereunder. Contractar shall respond to, and cornply with, any audit exceptian made or taken by City relating to Contractar's performar�ce or failure to perform hereunder.
