<br /> City sF�all monitor Contractor's Program and expenditures made pursuant to this agreernent semi-
<br /> annually to verify Contractor's compliance with this agreement and local contract requirements.
<br /> 10. CONTi�ACTOR'S STATUS. In the perFarmance of the obligations set forth in this
<br /> agreement, Contractor shall ha�e the s#atus of an indep�ndent contractor and sf�all not be deemed to be
<br /> an employee, agent or ofFicer of City.
<br /> 11. HOLD HARM�ESS. Contrac#or hereby agrees to defend, indemnify and sa�e harmless
<br /> City, its Council, ofFicers, boards, commissions, agents and employees (collectively, "Indemnitees")
<br /> against and from any and all claims, suits or actians of e�ery name, kind and description, damages,
<br /> loss�s and expenses including attomey fees, arising from, or alleged to have arisen from, any act or
<br /> omission to act, negligent or otherwise, of Contractor, its officer5, agents nr employees under this
<br /> agreement.
<br /> 12. NON-DISCI�IMlNA7ION AND EQUAL �PPORTUNITY. Gontractor hereby warrant5 and
<br /> agrees that, in khe performance of this agreement, it wilf not, in cannection with the emp�oyment,
<br /> ad�ancement or discharge of employees, or in connection with the terms, conditions or pri�ilsges of their
<br /> empiayment, discriminate against person because of their ag�, exc�pf upon the basis of bona fide
<br /> occupational qualifica#ion, retirement plan or statutory requir�ment, and will not sp�cify, in solicitations or
<br /> advertisement for employees to work on this contract, a maximum age fimit, unless such limit i5 based
<br /> upnn a bona fide occupational qualificatian, retirement plan or statutory requirement.
<br /> Contractor further warrants and agrees that it will comply with all pro�isions of executi�e Order
<br /> 11246 of September 24, 1965, and of the rules, regulations and rel��ant orders of the S�cretary of Labor;
<br /> and that it wiff nat discriminate against any errtployee or applicant far employment because ofi race, color,
<br /> religion, sex or national origin. Contractor will take affirmati�e actian to ensure that applican#s are
<br /> employed and that employees are treated durir�g employmer�t, without regard to their race, calar, religion,
<br /> sex or national origin. 5uch actior� shall incfude, but not be limited to, the following: er�ployment,
<br /> upgrading, demotion, or transfer, recruitrr�ent or recruitment advertising; layofF or termination; rates of pay
<br /> or other forms of compensation; and sel�ction for training, including apprenticeship.
