6.1.E. - Page 183 Cantrac#or shall provid� City with a copy of its most recent ind�pendent audit conducted in accordance with the 5ingle Audit Act of 1984, OMB Circular A-110 Uniform Requirements for Grant and Other Agreement and generally accepted auditing standards covering financial and compliance aud�ts. Audit shalf be submitted to the City with the end nf the year annual report pursuant tn sectio�6. 8. TERMINATION. Either party rr�ay terminate this agreement without cause at any time during the term hereof by gi�ing the other party no� less than thirty (30) days' prior written notice of sueh termina#ion. !n the e�ent of such termination, Contractor shall submit a final repart for any expenditure incurred prior ta fhe date of termination. Contractor shall submit to City a final report vf activities funded hereunder within thir#y (30) days from the date of termination. Contractor shall also return ta City any and all unexpended funds as of#he date of termination, within thirty (3D) days from the date of terrnination. Nofwithstanding the faregoing, City may terminate this agreement upon the occurrence of eitF�er of the following: (a) Human Service Financial Assistance funds cease, for any reasan, to be auailabfe to City; or (b) City has determined that the funds provided hereunder ha�e beer�, or are being, used far purposes ofher#han thase described in Exhibit A. Irt either of the foregoing circumstarsces, City shall give Contractor not less than fr�e (5) days' prior wriften notice of termination of such reason. NotF�ing contained in this paragraph shall be deemed ka limit the right of the parties to terminate this agreement for cause or otherwise to exercise any right or pursue any remedy which may accrue to tham. 9. AUDIT; MONITORlNG. City may audit the records and accounts af Contractor for the purpose of uerifying expenditures by Contractor of funds pro�ided hereunder or �erifying staternents ar analyses made or provided by Cantractor hereunder. Contractnr shall respond to, and comply with, any audit exception made or taken by City relating to Contractor's p�:rformance or failure to perform hereunder. Contractor shall pay City the amount determined by the City to be due as a result of any such audit exception.
