<br /> 10. CONTRACTOR'S STA�US. In the pertormance af the obligatians set forth in this
<br /> agreement, Contractor sF�all have the status of an indep�ndent contractar and shall not be deerr�ed to f�e
<br /> an employee, agent or officer oi City.
<br /> 11. HOLD HARMLES5. Contractor hereby agrees to defend, indemnify and save harmless
<br /> City, its Council, officers, boards, commissions, agents and employees (collectively, °fndemnitees")
<br /> against and from any and all claims, suits or actions of every name, kind and description, darrtages,
<br /> losses and expenses including attorney fees, arising from, or alleged ta have arisen from, any act or
<br /> omission to act, negligent or atherwise, of Contractor, its o�cers, agents or employees under this
<br /> agreement.
<br /> 12. iVON-01SCRfMINATION ANn EQUAL OPPQRTUNITY. Contractor hereby warrants and
<br /> agrees that, in the perFormance af this agreement, it will not, in connectian with the emplayment,
<br /> ad�ancement or discharge of errtployees, or in connection with the terms, conditions or privileges of their
<br /> employment, discriminate against person because of their age, except upon Ehe basis of bona fide
<br /> occ�pational qualifica#ion, retirement plan ar statutary requirement, and wi�] not specify, in solic�tatians or
<br /> acfvertisement fnr employees to work on this contrac#, a maximum age limit, unless such limit is based
<br /> upon a bona fide occupational qualification, retirement plan or statutory requirement.
<br /> Contractor further warrants and agrees that it will compiy with all prnvisions of executi�e Order
<br /> �12�46 of 5ep#ember 24, 1985, and of the rules, regulations and relevant orders af the Secretary of Labor,
<br /> and that i#will not discriminate against any emplayee or applicant for employment because of race, calor,
<br /> religion, sex or natianal origin. Contractor will take a�rmative action to ensure that applicants are
<br /> �mployed and that empioyees are treated during emplayment, without r�gard ta their race, color, religion,
<br /> sex or national origin. Such action shall include, buf not be limited to, #he following: �mp�oyment,
<br /> upgrading, demotion, or trar�sfer, recruitment ar recruitment ad�ertising; layoff or tarmination; rates of pay
<br /> or other forms vf campensation; and selection for training, including apprenticeship.
