Contractor <br /> wilE bind every subcontractor and every subcontractar of a subcontractor by the <br /> terms of this Agreement applicable to Contractor's work unless specificalfy noted <br /> to the contrary in the subcontract and a�proved in wriking by City. <br /> 14. HOLD HARMLESS. ContraCtor hereby agre�s to defend, indemni�fj� <br /> and save harmless City, its Council, afficers, boards, commissians, agents and <br /> employees (collecti�ely, "fndemnitees") against and from any and al! claims, suits <br /> ar actions af every name, kind and description, which may be brought against <br /> lndemnitees, or any of them, by reasnn of any injury to, or death af, any person <br /> (including corporatians, partnerships and assaciation) or damage suffered ar <br /> sustained by any such person or property damage (including loss o#' use thereof� <br /> arising fram, or alleged ta have arisen from, any act or omission to act, negfigent <br /> or otherwise, of Cantractor, its officers, agents nr employees under this <br /> Agreement. <br /> The duty of Contractor to defend, indemnify and save harmless, as set <br /> forth herein, will include th� duty to defend as set fortl� in Section 2778 of the <br /> California Civi! Code; provided, how�ver, that no#hing herein will be construed to <br /> require Contractar to indemnify Indemni�ees against ar�y responsibility or liability <br /> in contravention of Sectian 2782 af the California Civil Code. This Paragraph 14 <br /> shall surviu� the termination of this Agreement. <br /> 15. INSURANCE. Cantractor will acquire and maintain Workers <br /> Compensation, employer's liability, comprehensive general liability, owned, non- <br /> awned, and hired automobile liability insurance coverage relating to Contractor's <br /> ATTY/AGR/2012.121/CDBG HOME SHARING PROGRAM <br /> REV:08-31-12 Vft <br /> Page 5 of 15 <br />
