TERMlNATION. �ither party may terminate this Agreement without cause at any time during the t�rm hereof by gi�ing the other party not less ti�an thirty (30) days prior written nofice of such termir�ation. In the event of such termination, Contractor wifl submit a final invoice for any expenditure incurred up to and including the date of termination. Contractar will submit #o City a final report of activities funded hereunder within #hirty (30} days after the date of termination. Notwithstanding #he foregoing, City may termir�ate this Agreement, by givir�g Contractar not less than ��e (5) days prior written nofice, upon th� occurrence of any of the foflowing: a) Federal Community Developmenf Block Grant funds cease, for any reason, to be a�ailable to City; or b) City has det�rmined that the funds provided h�reunder have been, ar are being, used fior purposes nther than thos� described in Exhibits A andlor B; or c) Cantractor's failure to perfarm under this Agreement. Nathing contained irt this Paragraph 11 will be deemed to limit the right of the Parties to terminafe this Agreement for ca�se or otnerwise to exercise any right or pursue any remedy which may accrue to them. 12. CONTRACTOR'S STATUS. In the p�rformance of the abfigations set forth in this Agreement, Contractar w�ll have the status of an indep�ndent contractar and wilf not be deemed ta be an employee, agent or officer of City. 13. SUBCONTRACTING. Contractor will not subcontract any portion of the Proj�et withoufi prior written approval of City.
