Nothing contained in this Agreement will <br /> create any contractual relationsnip betwee� any subcontractor of Contractor and <br /> Ci#y. Cantractor will be responsible for payment of subcontractors. HO�.D HARMLESS. Cantractor hereby agrees to defend, indemnify <br /> and sa�e harmfess City, i#s Cour�cil, officers, boards, commissions, agents and <br /> employees (callectively, "lndemnit�es"} agair�st and from any and all claims, suits <br /> or actions of every name, kind and descriptian, which rnay be b�ought against <br /> Indemnite�s, or any of fhem, by reason of any in�ury to, or death of, any person <br /> (including corpnrations, partnerships and association} or damage suffered or <br /> sustained by arty such person or proper�y damage {including loss of use thereof� <br /> arising from, ar alleged ta ha�e arisen from, any act or omission to act, negligent <br /> or otherwise, of Cantractor, its afficers, ager�ts ar employees under this <br /> Agreement. <br /> The duty of Cflntractor to defend, indemnify and save harml�ss, as set <br /> forth herein, will include the duty to defend as set forth in Section 2778 of tl�e <br /> Califarnia Civil Code; pro�ided, however, that nothi�g herein will be constru�d to <br /> require Contractor to indemnify Ind�mnitees against any responsibility or liability <br /> in contra�entian of Section 2782 of the Caiifornia Civil Code.
