TERMINATION. Either party may terminate #his Agreement without cause at any time during the term herenf by giving the other party not less than thirty {30) days prior wri#ten notice of such termination, In the event of such termination, Contractor will submit a final invaice for any expenditure incurred up to artd including the date of termination. Contractor will submi# to City a finaf report of activities funded hereunder within thirty (30) days afker the date of terrr�ination. Notwithstanding the foregoing, City may terminate this Agreernent, by giving Cantractor not less than five (5) days prior wrft#en natice, upon the occurrence af any af the followirtg: a} Federal Community Development Block Grant funds cease, for any reason, to be available to City; or b) City has determined thaf the funds provided hereunder have been, or are being, used far purpases other than thase described in Exhibits A andlor B; or c) Contractor's failure to perfa�m under this Agreement. Nothing contained in this Paragraph 1'! wiil b� deemed to limi# the right of the Parties ta terminat� this Agreement far cause or ntherwis� to exercise any right or pursue any remedy which may accrue to them. 12. CONTRACTOR'S STATUS. In the performance of the obligations set for#h in th�s Agreement, Cantractar will ha�e the status of an independent cor�tractor and will nat be deemed to be an employee, agent or officer af City. 13. SUBCQNTRACTING. Contractor wil� nat subcontract any portion of the Projec# withaut prior written appro�al of City.
