City requ�res the professional services of a q�alified transportation <br /> consulting firm. <br /> B. Consultant has the necessary experience ir� providing prafess�onal <br /> ser�ices ar�d ad�ice. <br /> C. Seleetior� of Consultant is expected to achieve the desired resuits in an <br /> expedited �ashior�. <br /> � <br /> D. Consultant has submitte� a proposal to City and has affirmed its <br /> wil[ingness and ability to perForm such work. <br /> N�W, TNEREFORE, in consideration of these recitals and the mut�aal co�er�ar�ts <br /> cantained herein, the Parties agree as follows: <br /> 1. Scope of Work. City retains Consultant to perfarm, and Consultant agrees to <br /> render, those ser�ices (the "Services") that are defined ir� attac�ed Exhibit "A," which is <br /> incorporated herei� by reference. In the event of a conflict between the provisions of <br /> Exhibit "A" and the terr�s of this Agreement, the terms of this Agreement shail pre�ail. <br /> City shall have the right to modify the scope of work to dele#e tasks in whole or in part. <br /> 2. Star�dard of PerFormar�ce. While performing the Serrrices, Consultant will <br /> exercise the reasonable professional car� and skill customarily exercised by reputabfe <br /> members of Consultar�t's professior� practicing in the urban Northern CaEifarnia Area, <br /> and wi�l use reasonable diligence and best judgment whiie exercising its professiona� <br /> skill and expertise. <br /> 3. Term. Unless eariier terminated, the terrn of this Agreement will commence uport <br /> the date first abo�e written and shall expire upon completion of pertormance of Services <br /> hereunder by Consultant. <br /> 4. Sched�Ie.
