Priar ta City's ', <br /> execution of this Agreement, Consultant will furnish certificates of insurance and ' <br /> endorsements to City. <br /> 11.4 Failure to Maintain Coveraae. If Consultant fails to mair�tain ar�y of these ���, <br /> ins�rance co�erages, then City will have the o�tior� to deciare Consultant in ��� <br /> breach, or may purchase replacement insuranee or pay the premiums that are '�, <br /> due on existing policies in order to maintair� the required co�erages. A�y insurance or <br /> self-insurance main#ained by City for itself, its officers, agents, �olunteers and <br /> employees, will be in excess of Consultant's insurance and nat contrib�tary with <br /> it. <br /> 11.7 Reduction in CoveraqelMaterial Chanqes. Consultant will natify City thirty <br /> (30) days prior to any reduction in any of tf�e insurance coverage required <br /> pursuant to this Agreement or any material changes to fhe r�sp�c#i�e i�surance <br /> policies. <br /> 12. Business License. Consultant will nbtain and mai�tain a City of Redwood City <br /> Business Licer�se for the term of the Agreement, as may be ar�ended from time-to-time. <br /> 13. Maintenance �of Recorcfs. Consuftant will maintain complete and accurate records <br /> with respect to costs incurred under this Agreement. Ail records will be clearly <br /> identifiable. Consultant will aliow a r�presentati�e of City during narmal business hours <br /> to examine, audit, and make transcripts or copies of records and any other documents <br /> ereated pursuar�t to this Agreernent. Cansultant wi[I allow inspection of all work, data, <br /> documents, proceedings, and activities related to the Agreement far a period o� three <br /> (3) years from the date of final payment under this Agreemer�t. <br /> 1�4. Ownershiq a� Documents. All work prod�act produced by Consultant or its agents, <br /> employees, and subcontractors pursuant to this Agreemer�t is the property of City. In the <br /> evenf this Agreement is terminated, all work product produced by Consuitant or its <br /> agents, emplayees ar�d subcontractars pursuant to this Agreement will be delivered to <br /> City p�rs�ant to the �ermination clause of this Agreement.
