shall be in writing and immediately on its completion a copy thereof shall be transmitted to each, Company and City. The decision shall specify as to whether or not a change in rates is required, and if it be so required, the decision shall contain the new rate schedule. At its regular meeting next succeeding receipt of a copy of the decision, in the event it provides for an increase or decrease in rates~ and contains a new rate schedule, the Council of City shall by resolution adopt the new rate schedule. The new rate schedule shall become effective commencing with the calendar month next succeeding the adoptionofsuch resolution. 19. Renegotiation for Curb Side Pickup. City may wish to renegotiate this agreement and a rate schedule for providing of services called for in this agreement in the event that City determines that a curb side pickup would be in the public interest. The procedure for such negotiations shall be in accordance with the provisions for the negotiation of new rates as specified in paragraph 18. 20. Assignability - Notice of Change of Management. Neither this agreement nor any portion thereof shall be assign- able, voluntarily or by operation of law, in whole or in part, by Company without the written consent of City first had and obtained. Company shall notify City of any sale or substantial change in the management or control of Company within thirty (30) days following such sale or change of management or control. 21. Accounting Practice and Audit. Company agrees to keep and maintain, or modify, if necessary, its accounting practices to allow a qualified rate analyst or auditor to monitor Company's accounts for reporting purposes to City, or other contracting public entities, on the accounting practices and related rate setting information, to ensure substantiation of appropriate rates serving the public interest and, yet, permitting Company -10-
