~ES:djk 08/31/87R <br /> <br />such reviews shall be borne by Company, but shall be reported as <br />Pass Through Costs in accounting therefor under Article VI. <br /> <br /> Notwithstanding the foregoing, Agency or Authority shall, as <br />a provision of any agreement with the consultant, require the <br />consultant to review with Company the scope of the performance <br />review, provide Company with an 'outline of the consultant's <br />proposed report, and provide Company with a copy of the <br />consultant's draft report. Company shall have the opportunity to <br />submit a written response to the draft report which response <br />shall be included in the consultant's final report. Nothing in <br />this section shall be construed to limit the right of Agency, or <br />Authority on behalf of Agency, to investigate any aspect of <br />Company's performance hereunder. <br /> <br /> Agency shall consider the consultant's reports and Company's <br />responses thereto before adopting any standard of performance or <br />procedure based thereon. To the extent that an adopted standard <br />relates to matters involving public safety, health or welfare (as <br />distinguished from solely economic matters) Company shall comply <br />with reasonable requirements of Agency to correct deficiencies in <br />the performance of its services which adversely affect the public <br />health, safety or welfare. To the extent that an adopted <br />standard relates solely to economic matters, Company may elect <br />not to comply with recommendations of Agency or Authority based <br />thereon; provided, however, that Agency reserves the right to <br />consider, or to advise Authority to consider, such adopted <br />standards in determining the necessity for, and reasonableness <br />of, any costs claimed by Company pursuant to Article VI hereof. <br /> <br /> 16 <br /> <br /> <br />
