Agency acknowledges that <br />some of the data to be furnished pursuant to Section 5.2 and/or <br />information to be furnished pursuant to Section 5.3 by Company, <br />if disclosed to other persons, would result in unfair competitive <br />disadvantage to Company, and therefore, is entitled to <br />confidentiality. To that end, Company shall clearly designate <br />all such data and information for which it requests confidential <br />treatment prior to furnishing such data and information to Agency <br />or Authority or its or their consultant. <br /> <br /> Agency, or Authority on behalf of Agency, shall request any <br />consultant retained by it or Authority to comply with the <br />following guidelines governing the availability and use of <br />Company's records in pursuance of the audits and reviews <br />conducted under Sections 5.3 and 5.4, respectively: (i) Company's <br />records shall be available for inspection only on Company's <br />premises and shall not be removed therefrom; (ii) Company's <br />records shall not be quoted or incorporated in any report <br />prepared by consultants; and (iii) Company's records, or the <br />information therein contained, shall not be released or imparted <br />to any person, firm, corporation, .association, or other entity <br />other than Agency or Authority; provided, however, that Company <br />may authorize, in writing, exceptions to the foregoing <br />restrictions. Subject to Company's right to request <br />confidentiality, nothing in this paragraph shall be deemed to <br />preclude dissemination of information (as opposed to records) <br />necessary to complete the audits and reviews conducted under <br />Sections 5.3 and 5.4, respectively. <br /> <br /> 17 <br /> <br /> <br />
